Observed: Florence County Council approves a fee agreement with up to $135M in Closing Fund grant authority and up to $70.3M in economic-development bonds, tied to performance floors of $400M investment and 400 jobs. Land-contribution milestones begin at $40M by 2025-06-30, rising to $640M by 2028-06-30. Gap: Alignment. State and local commitments match announced scope.
2023-06-13 — Stated: AESC breaks ground, targeting commercial operations in 2026. BMW separately confirms the intended supply chain: Florence cells → Woodruff packs → Spartanburg vehicle assembly. Observed: South Carolina issues a synthetic-minor air construction permit (2023-10-11) authorizing two manufacturing phases at 1330 Estate Road, up to 36,000 cells per hour combined. The permit carries a standard clause voiding construction authorization if work is discontinued for 18 consecutive months. Gap: Alignment. Permitting tracks the announced timeline.
2023-12 — Stated: AESC expands the first-building Florence commitment to $1.62B and 1,620 jobs, completion still expected in 2026. South Carolina authorizes up to $50M in additional economic-development bonds. Observed: State incentive authorization tracks the expanded scope. Gap: Alignment.
2024 — Stated: AESC announces a second adjacent factory in March 2024: $1.5B, 1,080 additional jobs, operations targeted for 2027, bringing announced Florence totals to $3.12B and 2,700 jobs. The first building remains under active construction toward its 2026 target. Observed: The second factory is subsequently abandoned and South Carolina withdraws the associated $111M incentive package. No divergence signals on the first building's construction progress were identified during this period. Gap: Announced Florence scope contracts from $3.12B to $1.62B before the first building reaches completion. On the surviving scope, stated and observed remain aligned through 2024.
2025-06-05 — Stated: AESC pauses Florence construction citing "policy and market uncertainty." The company says it "remains committed" to the $1.6B investment and 1,600 jobs "in the coming years." No restart date, no revised SOP. Observed: AP reports the state does not regard the pause as triggering a clawback of the surviving $135M grant or roughly $121M in bond support. AESC states approximately $1B has already been invested; no county certification of qualifying investment under the fee agreement was identified. Gap: The 2026 commercial-operations target is implicitly abandoned but not formally replaced. The air permit's 18-month discontinuance clock starts here.
Eighteen months of discontinued construction from 2025-06-05 runs to approximately 2026-12-05. Absent an extension filing, the air construction permit lapses on that date and re-permitting is added to any restart sequence.
2025-12-29 — Observed: The FTZ subzone covering Florence (Subzone 21L, Site 001) shows zero activated acres, status "Not Active." A foreign-trade-zone subzone is activated when a site begins moving production-related goods through customs — imported equipment, materials, or exported output. Zero activation means none of that has happened. Gap: No company statement addresses FTZ activation. Consistent with the pause; not independent evidence of it.
2026-01-06 — Observed: South Carolina OSHA conducts a planned safety inspection at 1330 Estate Road. One violation, $750 penalty, case closed 2026-07-06. Gap: Confirms an occupied, inspectable establishment. Not evidence of resumed battery-plant construction. No company statement addresses the inspection.
2026-04 — Stated: C2ES, a climate-policy nonprofit, reports Florence construction restarted after a six-month pause. Observed: Engineering News-Record subsequently reports the project remains idled at approximately 75% completion, with general contractor Clayco filing a $26.2M lien. ENR reports AESC has not terminated Clayco's contract and did not respond to a request for comment. Florence County permit reports through July 2026 show no activity matching AESC, Clayco, or 1330 Estate Road — though detailed inspection records require portal access, so that negative is bounded. South Carolina's 2025 and 2026 WARN reports contain no AESC entry for Florence County. Gap: A Tier 3 restart claim directly conflicts with Tier 2 trade reporting of continued idling and an active contractor lien. No AESC statement resolves it. The absent WARN filing is consistent either with AESC never reaching the 100-employee threshold that triggers notice, or with the pause falling on contractors rather than direct employees.
2026-07 — Stated: AESC announces mass production of its 46120 cell (46mm diameter, 120mm height, high-nickel cathode, silicon-carbon anode), supporting BMW models "starting with" the all-electric iX5. Electrive confirms the iX5 designation. Observed: SMM places current 46120 mass production at AESC's Cangzhou and Jiangyin plants in China. Gap: The 46120 is manufacturing-ready and confirmed as an iX5 product. It is being made in China. Whether those cells ship to Woodruff is undisclosed.
2026-07-27 — Stated: BMW confirms Woodruff has produced test and pre-series packs since summer 2025, will assemble a 144 kWh pack for the iX5, and targets series production in December 2026. BMW says Woodruff "sources cells from leading manufacturers." No supplier is named. Observed: Woodruff construction and pre-series production are independently confirmed and on schedule. Gap: The downstream plant is running toward a December 2026 SOP. The upstream cell source BMW specified publicly in June 2023 is not producing, and the source that has fed Woodruff pre-series packs since summer 2025 has never been identified.
2026-08-08 — Observed: No AESC or Envision disclosure after 2025-06-05 was identified on the company's US newsroom, Florence page, or LinkedIn announcing a restart, a revised completion date, or a new SOP. The Florence page still carries recruitment content and reports no construction milestone. AESC's US profile continues to describe Florence as supplying BMW "beginning in 2026"; the language is undated. Florence appears in neither DOE LPO's public portfolio nor the battery manufacturing grant listings. No federal loan or grant support for Florence was identified.
Trajectory Assessment
Every entry after 2025-06-05 that speaks to construction status points the same direction, and none of them come from AESC. The pause was announced without a restart date and fourteen months have not produced one. The single restart claim came from a policy nonprofit summarizing the sector, and ENR — which covers construction contracting for a living — reported the opposite two months later, along with a $26.2M lien that AESC has not publicly addressed and a contractor whose contract has not been terminated. The confirmatory entries in between — the OSHA inspection and the inactive FTZ subzone — establish that a site exists and is not moving goods. Neither tells you whether anyone is building.
The permit clock is the one hard date in the file. It runs to roughly 2026-12-05.
BMW's word choice is the entry a buyer should sit with longest. In June 2023 BMW named AESC Florence as the cell source for Spartanburg. In July 2026 it described Woodruff as sourcing from "leading manufacturers," unnamed, while confirming that pre-series packs had been coming off the line since summer 2025 — a full year before AESC announced 46120 mass production, in China. Cells have been arriving at Woodruff for over a year from a source neither party will identify.
If they are Cangzhou or Jiangyin 46120s, "AESC supplies BMW" and "AESC Florence supplies BMW" carry different FEOC, tariff, and domestic-content exposures, and a buyer evaluating a BMW-adjacent program cannot substitute one for the other. For a team qualifying Florence against a program with a 2027 or 2028 vehicle SOP: approximately 75% built, general contractor lien outstanding, no revised timeline, no federal financing, and up to $255.3M in state authorization still tied to investment and employment performance floors with clawback provisions attached. What remains is sequential — finish construction, resolve the contractor position, procure and install equipment, commission lines, qualify output with the customer — and several of those steps carry multi-month durations of their own. My estimate of 18–24 months from resumed construction to qualified output is editorial inference from comparable greenfield cell plants, not sourced to any AESC or BMW disclosure; treat it as a planning range, not a number to put in a model. On the sourced evidence alone, Florence does not support qualification as a confirmed supply source for any program with a fixed SOP before late 2028.

- Woodruff's actual cell source: BMW's December 2026 series-production target for the iX5 pack at Woodruff will force a cell-source allocation decision into the open — or into customs and compliance records — within months.
- Air permit discontinuance window: Florence's construction permit becomes invalid if construction is discontinued for 18 consecutive months without an extension, placing the trigger around December 2026.
- Clayco lien resolution: The $26.2M foreclosure lien reported by ENR remains unresolved in publicly accessible records, and its outcome will signal whether AESC is negotiating a restart or managing an exit.
- State clawback clock: Florence County's fee agreement ties land-contribution milestones to cumulative investment thresholds through 2028-06-30, and the $240M milestone due by 2026-06-30 has passed without a public county certification.
